James E. A. Turner, Vice-Chair, Ontario Securities Commission

James Turner is Vice-Chair of the Ontario Securities Commission (OSC). As a Commissioner and member of the Executive Office, Mr. Turner participates in overseeing OSC activities and setting priorities. He is the Executive Sponsor of a number of policy initiatives at the Commission including its exempt market review, which includes crowd funding.

As a Commissioner, Mr. Turner also serves as a member of the Board of Directors of the OSC and on its Adjudicative Committee. He sits on adjudicative panels that hear and decide regulatory matters including administrative enforcement proceedings, public interest matters and appeals of decisions of recognized self-regulatory organizations and OSC staff.

Prior to his appointment to the OSC, Mr. Turner was a senior partner with Torys LLP in Toronto. Mr. Turner has over 30 years of legal experience, specializing in corporate, securities, mergers and acquisitions and corporate governance matters. He is recognized internationally as a leading practitioner in his areas of practice.

Mr. Turner is also a former General Counsel of the OSC. Mr. Turner received his degrees from the University of Western Ontario (BA and LLB).

Brian Koscak is a Partner at the law firm of Cassels Brock & Blackwell LLP located in Toronto, Ontario and practices in the area of corporate and securities law.  Brian is the Co-Chair of the Equity Crowdfunding Alliance of Canada and the Chair of the Private Capital Markets Association of Canada (formerly the Exempt Market Dealers Association of Canada), a national not-for-profit organization representing exempt market dealers, issuers and compliance professionals across Canada.  Brian is also a member of the Ontario Securities Commission’s Exempt Market Advisory Committee which is considering new ways of raising capital, including equity crowdfunding. Andrew Dix is CEO and Co-Founder of Crowded Media Group, the owner and operator of Crowdfund Insider, the leading news and information site for the global crowdfunding industry.  Crowdfund Insider was founded in 2012 soon after the signing of the JOBS Act.  The company quickly established itself as the go to source for all things crowdfunding.  A recognized authority in the crowdfunding industry, Andrew recently co-authored a chapter in a book titled Crowdfunding: Current Market Dynamics published by Wiley in 2014.

Don is the founder and President of Waverley Corporate Financial Services LP, a unique Canadian EMD platform facilitating the flow of capital to growth companies through experienced investment bankers in a time-effective, cost-effective and compliant manner.

For the past 25 years, Don has dedicated his career to helping small and mid-size companies get to the next level as a CEO, board member, private equity investor, investment banker, senior banker, and advisor.  Having managed over 80 successful financing and M&A transactions, he is passionate about breaking down the barriers that exist for small Canadian companies to thrive, and founded Waverley to do just that.

Don has been involved with Canadian businesses ranging from start-up to TSX listed companies and has served on the boards of numerous public and private companies. He has witnessed first-hand the issues that companies face at various stages of their life-cycle.

Mark Lawrence P.Eng., MBA, CFA

Mr. Lawrence has been Managing Partner of NorthCrest Partners Inc., an Exempt Market Dealer, since September, 2003 and is also President of CML Capital Ventures Inc., serving in that role since June, 1997. He is currently a director of Stone Investment Group Limited, a mutual fund company with assets under admin of about $800 million (a non-listed reporting issuer.) In September 2013 he was elected as a director of the Network of Angel Organizations – Ontario (NAO-Ontario). He is an active investor in private startup companies in sectors ranging from financial services software and services, alternative energy, green tech, telecommunications, materials and Internet software. His background was as a software, telecom, and biotech analyst at three brokerage firms – Pru-Bache, Midland Walwyn and Loewen Ondatjee McCutcheon. Mr. Lawrence, has also, since mid 2012, been a member of the Financial Assistance Committee of the NAO-Ontario.

He has been a founder and director of a number of TSX Venture listed companies, some through the Capital Pool Program.   Mr. Lawrence was a founding director of Soltoro Ltd., a TSX Venture listed company, between August, 2006 and mid 2011( Mexican silver exploration). He was also a director of Axiotron Corp. from August, 2008 to November, 2009 (Tablet Computers) and of Software Growth Inc. from July, 2008 to September, 2009, and York Ridge LifeTech Inc., each a TSX Venture listed company. He is currently acting CEO of Acadian Energy Inc., a TSXV listed company currently looking for a business to conduct an RTO with.

Mr. Lawrence holds a Bachelor of Science in Mechanical Engineering from Queens University and a Masters of Business Administration from the Ivey School of Business, London, Ontario. He received his designation of P.Eng from the Association of Professional Engineers of Ontario and his Chartered Financial Analyst designation from the Association for Investment Management and Research.

Brian Rosenbaum, Aon

Brian Rosenbaum joined Aon Reed Stenhouse in November 2006, and is the National Director of the Legal and Research Practice within the Financial Services Group. His department provides risk transfer solutions to many of Canada’s most prominent corporate executives and boards. Currently considered an authority on insurance matters dealing with management liability, Brian contributes regularly to prominent industry publications, regularly makes presentations to corporate management teams and boards, and speaks at professional organization conferences on issues related to management liability and insurance. Prior to working at Aon, Brian developed continuing legal education programs with an emphasis on management liability insurance, worked in private practice, and was General Counsel of a Toronto-based group of companies. Brian is a graduate of Osgoode Hall Law School and a member of the Ontario Bar.

Greg Harper, COO, BoardSuite @boardsuite

Greg Harper is responsible for the day-to-day operations of BoardSuite and provides leadership in M&A activity, short-term and long-range planning and budget development to support strategic business goals.

Greg is a seasoned executive with more than 25 years of demonstrated proficiency in investment management, corporate finance, operations and administration. He founded Harles Management, a strategic management company, where he has advised businesses in areas of capital management, revenue growth and profitability. Harper began his career as a Securities Trader at Canada Life followed by a position in Private Placements. Harper then joined Colonia Life and at the time of the sale of the company he held the position of Senior Investment Officer responsible for all areas of investment and portfolio management. Following this Harper was Chief Operating Officer at FRI Corporation primarily responsible for restructuring. Greg actively holds executive and board positions in selected for-profit and not-for-profit organizations and is an active member of the Chartered Financial Analysts Institute.

Neil May, Partner Goodmans

Neill May is a partner at Goodmans. His practice focuses on all aspects of securities law, with particular emphasis on mergers and acquisitions and corporate finance. Neill has developed a reputation for expertise in securities law and for his ability to negotiate and complete complex and innovative transactions.

Neill has counselled participants in numerous public and private M&A transactions, and has represented clients on both sides of friendly and hostile takeover bids. He has also structured and implemented a vast range of corporate reorganizations and financing transactions, including domestic and cross border public offerings, and private strategic and venture capital financings.

Mark Skapinker has been an entrepreneur and seed investor in the Canadian software industry since the inception of the personal computer in the 1980’s.

In 1988, Mark co-founded Delrina Corporation, makers of WinFax, one of the most popular Windows programs of all time. Mark was president of Delrina until it was acquired by Symantec in November 1995. Delrina grew to over 600 people, with offices in six countries, and a public listing on the TSE and NASDAQ. In 1995, Skapinker anticipated the growth and impact of email and the Internet, and sold Delrina to Symantec Corporation for over US$400 million.

In 1997, Mark founded Balisoft Technologies. Balisoft’s software bridged the traditional customer service industry and the emerging Internet industry. In 1999, Balisoft/Servicesoft was acquired by Broadbase Software, which in turn was acquired by Kana software Inc (Nasdaq: KANA).

In 2000, Mark co-founded Brightspark Ventures in Toronto. For over 14 years, Brightspark has managed early stage and seed Venture Capital funds, with over $135 million under management. Mark is a Managing Partner at Brightspark, which has invested in over twenty Canadian software startups. Karen Mazurkewich has spent the past year at Stage TEN raising both public and private financing for the company’s new interactive live-streaming platform. Prior to Stage TEN, she helped raise funds for several other interactive companies, and has orchestrated marketing and communication strategies for several iPhone apps. She wrote a seminal report on intellectual property for the Canada International Council in 2011 (a think tank funded by Jim Balsillie), has worked as a digital media consultant for the Ontario Media Development Corporation, Brunico Communications and Shaftesbury Films, and worked several years as a senior communications officer for the National Film Board of Canada.

Karen spent almost a decade as a senior journalist for the Wall Street Journal and the Financial Post. She has a vast international network that extends to over 20 countries and knows how to navigate the world of mass media.

Probal Lala is the CEO of About Communications a national provider of phone and internet services to small to medium sized businesses. A Telecommunications Executive with over 20 years of Industry experience, Probal has held a range of diverse executive positions from V.P. Sales at Lucent Canada, CEO of AirRoamer to V.P. and G.M. Internet Operations at Bell Canada.

A passionate believer in the role of entrepreneurs in our economy, Probal spends much of his spare time on the development of young entrepreneurs. Matthew joined Plaza Ventures as Partner in 2012. Throughout his career, Matthew has been involved in all aspects of the investment cycle having completed dozens of transactions of early stage technology companies. Matthew was formerly a Principal with an institutional investment firm in Toronto. Matthew focuses on origination, vetting, due diligence, negotiation and deal structuring of investments and private equity financing agreements across technology sectors, as well as the refining of business concepts, selecting appropriate business plans for investment and monitoring and enhancing the performance of portfolio companies.
